Terms & Conditions

Effective Date: September 1, 2026

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and WPIRS, Inc. ("WPIRS," "we," "us," or "our"), governing your access to and use of the WPIRS website at wpirs.com (the "Site"), our software products, and our professional services. By accessing or using any WPIRS product or service, you agree to be bound by these Terms in their entirety.

1. Acceptance of Terms

By creating an account, purchasing a subscription, downloading or installing any WPIRS software, using the Impairment Solutions service, or otherwise accessing the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use any WPIRS product or service.

If you are entering into these Terms on behalf of a medical practice, clinic, hospital, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" and "your" shall refer to that entity.

2. Description of Services

WPIRS provides impairment rating software and professional review services designed for physicians, evaluators, and medical professionals. Our offerings include:

Software Products

  • WholePerson® Premiere 5 – Our flagship AMA Guides impairment rating software, available as an annual subscription at $995 per year. WholePerson Premiere 5 provides comprehensive tools for calculating impairment ratings in accordance with the AMA Guides to the Evaluation of Permanent Impairment.
  • WholePerson® Premiere 4 – Impairment rating software based on the AMA Guides, 4th Edition, for jurisdictions that continue to require or permit use of that edition.
  • FCE Report Writer – Functional Capacity Evaluation report-writing software that assists physicians and evaluators in generating standardized, defensible FCE reports.

Impairment Solutions Service

Our Impairment Solutions review service provides physicians and evaluators with access to expert consultation. Through this service, physicians may submit impairment rating cases for expert review and guidance. Full details of the Impairment Solutions service are described in Section 6 below.

3. Account Registration

To access certain features of our Site, purchase software subscriptions, or use the Impairment Solutions service, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain and promptly update your account information to keep it accurate, current, and complete.
  • Maintain the security and confidentiality of your login credentials and not share your account access with any third party.
  • Accept responsibility for all activities that occur under your account.
  • Notify WPIRS immediately at support@wpirs.com if you become aware of any unauthorized use of your account or any other breach of security.

WPIRS reserves the right to suspend or terminate any account that we reasonably believe has been compromised, is being used in violation of these Terms, or contains inaccurate registration information.

4. Subscription Terms & Pricing

Free Trial

WPIRS offers a 7-day free trial for eligible software products. The free trial provides full access to the software's features during the trial period. At the end of the 7-day trial, your subscription will automatically convert to a paid annual subscription unless you cancel before the trial period expires. You may cancel your free trial at any time during the 7-day period by contacting us at support@wpirs.com or by managing your subscription through your account settings.

Annual Subscription

WholePerson® Premiere 5 is offered as an annual subscription at $995 per year. All subscriptions are billed annually in advance. Pricing for other software products is listed on the applicable product page on our Site.

Auto-Renewal

All subscriptions automatically renew for successive one-year terms at the then-current subscription rate unless you cancel prior to the renewal date. WPIRS will make reasonable efforts to notify you in advance of any price changes before your renewal date.

Cancellation

You may cancel your subscription at any time by contacting WPIRS at support@wpirs.com or by calling 800-639-1244. Cancellation will take effect at the end of your current billing period. No refunds will be issued for partial subscription periods. Upon cancellation, your access to the software will continue until the end of the current paid subscription term, after which your license will be revoked and your access will be terminated.

Payment

You agree to pay all fees associated with your subscription in a timely manner using a valid payment method. If your payment method fails or your account is past due, WPIRS reserves the right to suspend or terminate your access to the software until payment is received.

5. Software License

Subject to your compliance with these Terms and payment of all applicable fees, WPIRS grants you a limited, non-exclusive, non-transferable, revocable license to install and use the licensed software product(s) solely for your internal professional use in connection with the evaluation and rating of impairment in your medical practice.

License Restrictions

You agree that you will not, and will not permit any third party to:

  • Copy, reproduce, distribute, sublicense, lease, lend, rent, or otherwise transfer the software or any portion thereof to any third party.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying algorithms, or structure of the software.
  • Modify, adapt, translate, or create derivative works based on the software.
  • Remove, alter, or obscure any proprietary notices, labels, trademarks, or copyright markings on the software.
  • Use the software to develop a competing product or service.
  • Use the software for any unlawful purpose or in violation of any applicable laws, regulations, or professional standards.
  • Share your login credentials or allow multiple users to access the software under a single-user license.
  • Attempt to circumvent any license key, activation mechanism, or usage limitation built into the software.

Any use of the software beyond the scope of this license is strictly prohibited and constitutes a material breach of these Terms. WPIRS reserves all rights not expressly granted herein.

6. Impairment Solutions Service

Service Description

The Impairment Solutions service allows subscribing physicians and evaluators to submit impairment rating cases for expert review. Our team of experienced professionals reviews case materials, analyzes the applicable AMA Guides criteria, and provides detailed feedback and recommendations.

Submission Process

To use the Impairment Solutions service, you must submit your case materials through the designated submission process on our Site or as directed by WPIRS support. All submitted materials must be complete, accurate, and properly de-identified in accordance with HIPAA and any other applicable privacy regulations. You are solely responsible for ensuring that any patient information shared with WPIRS is transmitted in compliance with applicable law.

Turnaround Time

WPIRS will make reasonable efforts to complete reviews within the estimated turnaround time communicated at the time of submission. However, turnaround times are estimates only and are not guaranteed. Complex cases or high submission volumes may result in longer processing times.

Physician Responsibility

The Impairment Solutions service is an advisory and support service only. All reviews, recommendations, and reports provided through the Impairment Solutions service are intended to assist the subscribing physician or evaluator. The subscribing physician bears sole and exclusive responsibility for the final impairment rating report, all clinical judgments, and any opinions expressed therein. The physician must independently review, verify, and approve all work product before issuing any report. WPIRS does not practice medicine and does not render medical opinions.

7. Intellectual Property

All software, documentation, content, graphics, logos, trademarks, trade names, and other intellectual property associated with WPIRS products and services are and shall remain the exclusive property of WPIRS, Inc. or its licensors. This includes, but is not limited to, the registered trademark WholePerson®, the trademarks WPIRS™ and Impairment Solutions™, the FCE Report Writer software, and all associated logos, branding, proprietary methodologies, and algorithms. Nothing in these Terms grants you any ownership interest in any WPIRS intellectual property.

Impairment rating reports and other work product generated by the subscribing physician using WPIRS software are the property of the subscribing physician or the entity under which they practice. WPIRS claims no ownership interest in the content of reports created by users through the use of our software, provided that the underlying software, templates, algorithms, and proprietary methodologies used to generate such reports remain the exclusive property of WPIRS.

You may not use WPIRS trademarks, trade names, logos, or branding in any manner without our prior written consent, except as reasonably necessary to identify that you use WPIRS software in your practice.

8. Disclaimers

WPIRS SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

WPIRS software is a professional tool designed to assist physicians and evaluators in calculating and documenting impairment ratings. It is not a substitute for professional medical judgment, clinical expertise, or independent evaluation. The software does not provide medical advice, diagnoses, or treatment recommendations. The physician or evaluator is solely responsible for all clinical decisions, the accuracy of all input data, and the validity of all conclusions and opinions expressed in any report generated using WPIRS software.

WPIRS does not warrant that the software will be error-free, uninterrupted, or free of viruses or other harmful components. WPIRS does not warrant that the results obtained from the use of the software will be accurate or reliable. While we strive to ensure that our software reflects the applicable AMA Guides criteria, it is the responsibility of the physician to verify all calculations and to ensure compliance with the specific requirements of the applicable jurisdiction.

WPIRS does not guarantee the availability of the Impairment Solutions service or any specific turnaround time for case reviews.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WPIRS, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your use of or inability to use the software or services;
  • Any errors, inaccuracies, or omissions in the software output or Impairment Solutions deliverables;
  • Any unauthorized access to or alteration of your data or transmissions;
  • Any third-party claims arising from your use of WPIRS products or services;
  • Any reliance on information or results obtained through the software or services.

IN NO EVENT SHALL WPIRS'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF WPIRS PRODUCTS OR SERVICES EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO WPIRS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, THE LIMITATIONS SET FORTH ABOVE SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

10. Indemnification

You agree to indemnify, defend, and hold harmless WPIRS, Inc., its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use or misuse of WPIRS software or services;
  • Any impairment rating report or medical opinion you issue using or based upon WPIRS software or Impairment Solutions deliverables;
  • Your violation of these Terms;
  • Your violation of any applicable law, regulation, or professional standard;
  • Your violation of the rights of any third party, including but not limited to patient privacy rights;
  • Any claim by a patient, employer, insurer, or other third party arising from an impairment rating or evaluation you performed.

This indemnification obligation shall survive the termination or expiration of these Terms and your use of WPIRS products and services.

11. Termination

WPIRS may suspend or terminate your account and access to our software and services at any time, with or without cause, and with or without notice, including but not limited to situations where:

  • You breach any provision of these Terms;
  • You fail to pay applicable subscription fees;
  • We are required to do so by law or regulation;
  • We reasonably believe your account has been compromised or is being used fraudulently;
  • We discontinue the product or service.

You may terminate your account at any time by contacting WPIRS at support@wpirs.com. Upon termination, your license to use the software is immediately revoked, and you must uninstall and destroy all copies of the software in your possession. Termination does not relieve you of any obligation to pay fees incurred prior to the termination date.

The following sections shall survive termination of these Terms: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law & Dispute Resolution, and any other provisions that by their nature should survive.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms or your use of WPIRS products or services shall be brought exclusively in the state or federal courts located in the Commonwealth of Massachusetts, and you hereby consent to the personal jurisdiction and venue of such courts.

Before initiating any formal legal proceeding, you agree to first contact WPIRS at support@wpirs.com to attempt to resolve the dispute informally. The parties agree to negotiate in good faith for a period of at least thirty (30) days before either party may commence litigation.

You agree that any claim or cause of action arising out of or related to these Terms or your use of WPIRS products or services must be filed within one (1) year after the cause of action accrued, or such claim shall be permanently barred.

13. Changes to Terms

WPIRS reserves the right to modify, update, or revise these Terms at any time at our sole discretion. When we make material changes, we will update the "Effective Date" at the top of this page and, where practicable, provide notice via email to the address associated with your account or through a prominent notice on our Site.

Your continued use of WPIRS software or services after the posting of revised Terms constitutes your acceptance of the changes. If you do not agree with the revised Terms, you must discontinue your use of all WPIRS products and services and cancel your subscription.

We encourage you to review these Terms periodically to stay informed of any updates.
